1. Acceptance of Terms
These Terms of Service ("Terms") are a legally binding agreement between you and NEON-Systems, LLC ("NEON-Systems," "we," "us," or "our") regarding your access to and use of the Trades Support mobile and web application and related services ("App," "Service"). The App is an operations and accounts-receivable tool. It is not a full accounting, payroll, general-ledger, or bank-reconciliation system.
3. Platform Terms vs Company Terms
3.1 Platform Terms
These Terms and our Privacy Policy govern your use of the Trades Support software service provided by NEON-Systems, LLC.
3.2 Company Terms and Job Contracts
Contractor companies may create and display their own terms and conditions and company documents (for example licenses or insurance) to customers in connection with proposals and change orders. Those company terms and any resulting construction or service engagement are solely between the customer and the contractor company. NEON-Systems is not a party to that job contract, does not guarantee contractor workmanship or payment between those parties, and is not responsible for disputes arising from company-authored terms or the underlying job.
4. User Accounts and Registration
4.1 Account Creation
You must create an account to use the App. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4.2 Account Types
The App supports different user roles:
- **Admin (Executive)**: Company administrators who typically hold or manage the company subscription; they may manage company details and branding, invite Admins, Project Managers, and Field Staff (subject to plan limits), and access subscription management features. An Admin may also act as a Project Manager for the same company when the App's dual-role features are used.
- **Project Manager**: Business users who create and manage projects, handle finances, manage field staff and team members, and have access to project data and financial information for their company-scoped projects. On some plans, a solo Project Manager may operate without a separate Admin.
- **Field Staff**: Employees or contractors invited by Admins or Project Managers (invitation-only; Field Staff cannot self-register). They can view assigned projects, upload receipts and progress photos, track time and mileage, and update milestones within their assigned scope.
- **Customer**: Clients or project recipients invited to view shared projects, review and approve proposals and change orders, monitor project progress, optionally pay invoices, and add or manage team members to share project access with additional contacts. "Team Member" invitations grant Customer-side access.
4.3 Account Responsibility
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
5. Permissions and Role-Based Access
5.1 Access Levels
- **Admins (Executives)** have administrative access including: subscription management (as applicable), company details and branding, inviting Admins and Project Managers and Field Staff (subject to plan), and company-scoped project access appropriate to their role.
- **Project Managers** have project-level access including: creating and editing projects, managing financials, uploading documents, managing field staff and team members, viewing project data, and initiating customer payment requests for their projects.
- **Field Staff** have limited access including: viewing assigned project details, uploading receipts and progress photos, tracking time and mileage, updating milestones within their scope, and viewing relevant project documentation.
- **Customers** have access including: viewing shared projects, reviewing proposals and change orders, approving or declining proposals, viewing project progress, accessing project documentation and company terms shared with them, optionally paying invoices, and adding or managing team members for their projects.
5.2 Unauthorized Access
You agree not to attempt to access areas of the App or data that you are not authorized to access. Unauthorized access, reverse engineering, or any attempt to bypass security measures is strictly prohibited and may result in immediate termination of your account and legal action.
6. Payment Terms and Subscription Services
6.1 Subscription Plans (SaaS)
The App operates on a subscription-based model with various tiers (e.g. Starter, Professional, Enterprise). Admins (and where applicable, Project Managers who hold the subscription) may subscribe to access premium features. Trial periods may be offered at our discretion. Subscription access is generally company-scoped so that authorized company members inherit plan benefits.
6.2 SaaS Payment Processing
- **Web**: Subscriptions are processed through Stripe (our PCI DSS-compliant payment processor). You authorize us to charge your payment method for fees and charges.
- **iOS**: In-app subscriptions are billed through the App Store. Apple's billing terms apply; we validate purchases via our backend for subscription status.
- **Android**: In-app subscriptions are billed through the Google Play Store. Google's billing terms apply; we validate purchase tokens via our backend for subscription status.
- All fees are in the currency specified at the time of purchase. Subscription fees are billed according to the selected billing cycle. Cancellation takes effect at the end of the current billing period.
- Platform-specific rules may prevent purchasing a mobile subscription when an active web (Stripe) subscription already manages the company plan.
6.3 Customer Project / Invoice Payments (Stripe Connect)
- Contractor companies may receive customer payments for project invoices through Stripe Connect.
- Those payments are made to the contractor company's connected Stripe account, not to NEON-Systems as the merchant of record for the job.
- Stripe may require company identity, bank, and KYC information to complete Connect onboarding.
- We are not liable for disputes between users regarding payments for projects or services. Payment disputes between Project Managers or Admins and Customers must be resolved directly between the parties involved.
6.4 Refunds
Refund policies for SaaS subscription fees are at our sole discretion, except as required by law or as explicitly stated by us. Platform-specific refund rules (App Store, Play Store) may also apply. Refunds for customer job payments are subject to the contractor company, Stripe, and applicable card network rules; NEON-Systems does not guarantee job-payment refunds.
6.5 Third-Party Payment Processors
We use PCI DSS-compliant third-party payment processors (Stripe for web subscriptions and Connect job payments; App Store and Play Store for in-app subscriptions). We do not store full credit card numbers, CVV codes, or other sensitive payment credentials. You agree to the terms and conditions of the applicable payment processor when making payments.
